Corporate Counsel - Public Law (Counsel - Sr Counsel)

This position will provide an excellent opportunity to join our growing Public and Corporate Law team. The Corporate Counsel will play a key role in supporting Halliburton’s legal strategy across corporate, securities, finance, public law, governance, and board-related matters. Ideal candidates will bring a solid foundation in these areas and a desire to grow and contribute to this critical function of the legal department. The role reports directly to the Vice President of Public Law within our Corporate Law Department.
Job Responsibilities:
- Provide leadership in corporate law strategy and governance, including advising on domestic and international entity structure, in collaboration with tax and risk planning teams
- Serve as a strategic legal advisor across the company, offering guidance on legal rights, obligations, and risk mitigation related to corporate planning, finance, and sustainability reporting
- Lead domestic and international corporate transactions, including entity formations and dissolutions, name changes, redomestications, conversions, qualifications, and withdrawals
- Support regulatory compliance efforts for legal entity licensing, qualifications, authorizations, and ongoing maintenance of domestic and international corporate entities
- Manage corporate governance and entity management activities and provide legal support to the treasury and corporate finance departments
- Act as a liaison to internal departments such as Treasury, Tax, Sustainability, Business Development, Marketing, and Investor Relations
- Drive continuous improvement by identifying and implementing solutions to streamline legal operations and ensure efficiency
- Support data gathering and documentation efforts for SOX compliance, internal audits, and other regulatory requirements
- Support additional areas of public law as needed, such as Form 8-K filings, Proxy Statement review, SEC comment letter responses, board support, and stock management matters
- Collaborate cross-functionally on corporate policies and best business practices
Requirements:
- Bachelor's degree required
- Juris Doctor (JD) from an accredited law school is required
- Must hold an active law license and be in good standing to practice in at least one U.S. jurisdiction
- Minimum of 5 years of relevant legal experience, preferably a combination of in-house and law firm experience
- Demonstrated experience in corporate governance, entity management, and public law matters
- Strong analytical and problem-solving skills; able to quickly assess legal risks and provide actionable recommendations
- High attention to detail with the ability to manage multiple projects in a high-paced environment
- Self-motivated with excellent organizational, research, and editing skills
- Strong interpersonal and collaborative skills with the ability to work cross-functionally
- Ability to communicate legal concepts clearly and effectively to both legal and non-legal audiences
- High ethical standards and commitment to professional integrity
