Job Duties

This position will report to the Senior Director for Subsidiary Management and will oversee and manage approximately 100 legal entities across the US and the Caribbean.  Responsibilities include drafting and preparing annual general reports, resolutions, powers of attorney, certificates of incumbency, and other public company matters. The ideal candidate will have significant experience in Public Law, corporate governance and/or entity management as well as working with the various Secretaries of State offices/websites and/or registered agents in the creation, liquidation, merging, and amending of entities, filing of annual reports and required fees. 

Job Description – With the assistance and supervision of Counsel the position shall
•    Handle various legal matters relating to registered companies and entity management.
•    Prepare Board, Committee, and annual meetings.
•    Prepare, edit, and manage Company policies and business practices.
•    Maintain records and information systems.
•    Have a broad range of experience managing the governance documents and filings of corporate entities and have the ability to work independently.
•    Have experience and/or familiarity with various entity management systems, Workiva, various Microsoft applications, DocuSign, EDGAR, and SAP.

Requirements
•    Minimum five years’ work experience as a legal assistant/paralegal.
•    Typically requires undergraduate degree, and/or paralegal certificate and/or equivalent experience.

Candidates having qualification that exceed the minimum job requirements will receive consideration for higher-level roles given (1) their experience, (2) additional job requirements, and/or (3) business needs. Depending on education, experience and skill level, a variety of job opportunities might be available from Legal Assistant to Senior Legal Assistant.
