Legal Assistant - Senior Legal Assistant

Job Duties

  • Assist the Director – Tax Planning, Controversy, and Research, and other members of the tax planning team on internal and external legal matters
  • Draft subsidiary board resolutions, consents, distribution/contribution agreements, and intercompany financing agreements
  • Collaborate with the legal department on entity creations and dissolutions
  • Work from and maintain a database of precedent documents
  • Maintain and draft structure charts and transaction step-plans
  • Assist with legal research projects
  • Support tax controversy matters
  • Prepare memoranda documenting transactions

Qualifications

  • 5+ years of experience in an AmLaw 250 law firm, Big4 accounting firm, or large corporate environment
  • Strong legal writing background with experience drafting complex commercial agreements
  • Bachelor’s degree from an accredited 4-year university
  • Experience with common non-U.S. holding company jurisdictions (preferred) 

Candidates who possess qualifications exceeding the minimum job requirements will be considered for higher-level positions based on their experience, additional job requirements, and current business needs. Depending on their education, experience, and skill level, candidates may be eligible for a range of job opportunities, including positions ranging from Legal Assistant - Senior Legal Assistant.
